Terms of Service

"Client" means the natural or legal person to whom Sharma Media has issued a quotation or with whom it has entered into an agreement. "Services" means the digital marketing, design, development and consulting work Sharma Media performs.

Quotations are valid for 30 days and non-binding unless stated otherwise. An agreement is formed upon written acceptance (including by email) of the quotation by the Client.

Sharma Media will perform the Services to the best of its professional ability (inspanningsverplichting). Deadlines are indicative unless explicitly agreed as fatal terms.

Fees exclude 21% Dutch VAT (BTW) unless stated otherwise. Invoices are payable within 14 days. Late payment results in statutory commercial interest (Art. 6:119a Dutch Civil Code) and reasonable collection costs.

All IP rights in deliverables remain with Sharma Media until full payment has been received. Upon payment, the Client receives a non-exclusive licence to use the deliverables for the agreed purpose. Sharma Media retains the right to use general know-how and to reference the work in its portfolio.

Sharma Media's total liability per agreement is limited to the amount invoiced to the Client in the three months preceding the event giving rise to the liability, and in any case to the amount paid out by its insurer. Liability for indirect or consequential damages is excluded.

Either party may terminate an agreement for cause in the event of material breach that is not remedied within 14 days of written notice. Work performed up to termination remains payable.

Both parties treat each other's confidential information as such. Personal data is processed in line with our Privacy Policy and applicable data processing agreements.

These terms and all agreements are governed by Dutch law. Disputes are submitted exclusively to the competent court in The Hague (Rechtbank Den Haag), unless mandatory law dictates otherwise.
